Terms and Conditions of Supply

These Terms and Conditions ("Terms") govern the sale of goods by Factory Direct LTD ("Supplier", "we", "us"), a company registered in England and Wales with its registered office at 124 City Road, London, United Kingdom.
By placing an order with Factory Direct LTD, the Buyer ("Customer", "you") agrees to be bound by these Terms.
1. Business-to-Business (B2B) Transaction
1.1. The Customer acknowledges that all purchases made from Factory Direct LTD are for business purposes only (B2B).
1.2. The Customer confirms they are purchasing goods for the purpose of trade, resale, or professional use, and not as a consumer.
1.3. Accordingly, consumer protection regulations, including the Consumer Contracts Regulations 2013 (cooling-off periods), do not apply to these transactions.
2. Orders and Customization
2.1. All orders are subject to acceptance by the Supplier. We reserve the right to refuse any order at our discretion.
2.2. Custom Manufacturing: The goods supplied (NFC Cards) are manufactured and customized specifically to the Customer's requirements (custom print, encoding, or bulk volume allocation).
2.3. The Customer is responsible for the accuracy of all artwork, data, and specifications provided. The Supplier is not liable for errors in the final product caused by incorrect artwork or data submitted by the Customer.
3. Pricing and Payment
3.1. All prices quoted are exclusive of VAT (where applicable) unless otherwise stated.
3.2. Full payment is required upon order placement unless credit terms have been expressly agreed in writing.
3.3. Prices for international orders (AUD, CAD, EUR) include DDP (Delivered Duty Paid) shipping where explicitly stated. For all other orders, the Customer is responsible for any import duties or taxes.
4. No Refund and No Return Policy
4.1. Strict No Returns: Due to the custom nature of the manufacturing process and the wholesale pricing structure, all sales are final.
4.2. We do not accept returns or offer refunds for:
- a) Change of mind.
- b) Unsold inventory.
- c) Errors in artwork files provided by the Customer.
- d) Incompatibility with specific third-party software or apps.
4.3. Defective Goods: In the unlikely event of manufacturing defects (e.g., dead chips), the Customer must notify the Supplier within 7 days of delivery.
- a) The Supplier’s liability is limited to the replacement of the defective units only.
- b) We do not offer cash refunds.
- c) We reserve the right to request the return of defective units for inspection before issuing replacements.
5. Delivery
5.1. Delivery dates are estimates only. Factory Direct LTD is not liable for any losses caused by shipping delays, customs hold-ups, or carrier issues.
5.2. Risk of loss passes to the Customer upon delivery of the goods to the carrier.
6. Technical Limitations & Liability
6.1. The Supplier provides NFC hardware (NTAG213/215/216 chips) as specified. We do not guarantee compatibility with every smartphone model or future updates to mobile operating systems (iOS/Android).
6.2. The Supplier is not responsible for the data encoded onto the cards by the Customer or any third party.
6.3. To the maximum extent permitted by law, Factory Direct LTD shall not be liable for any indirect, special, or consequential damages (including loss of profit, revenue, or data) arising from the use of our goods.
7. Governing Law
7.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.
7.2. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
